- The Associate Partner (AP) is appointed to provide lead generation services by AP to Tata
Teleservices
Ltd. (TTSL) or Tata Teleservices Maharashtra Ltd. (TTML), both TTSL and TTML hereinafter
collectively
known as 'TTL'. The lead so generated by AP may be closed independently by TTL or by a
Channel Partner
(CP) appointed by TTL.

TTL shall be responsible for the following:
- Providing unique identifier to AP for system tagging
- Providing process and system for lead registration
- Mapping lead to sales team of TTL for closure
- Providing report and analytics to AP
- Payout to AP as per partner payout policy; and
- Training to AP about TTL products and services.

The AP shall be responsible for the following:
- Will be attached to the CP in cases where a CP is involved
- Lead generation and marketing TTL products and services
- Registration of lead as per process defined by TTL
- On closure of each lead i.e. activation of the product or services of TTL he will be
entitled
for a payout as per the Payout Policy; and
- AP shall raise invoice for his/her commission as per CP Payout Policy.

The CP, in cases where a CP is appointed by TTL, shall be responsible for the following:
- To appoint and manage the AP
- Work and close on leads generated by the AP
- Update AP about the TTL product and service portfolio
- Handholding of AP in case of customer query
- Visiting customer along with AP; and
- To raise and submit invoice for commission entitled against each lead closure as per
partner
payout policy of that particular circle.
- TTL shall pay to AP and CP as per the Partner Payout Policy (Payout policy). TTL will
circulate the
Payout Policy for every financial year in every circle.
- AP and CP shall raise separate invoices on TTSL and TTML. Payment shall be released to AP
and CP by TTSL
and TTML for their respective invoices within 60 working days from the date of receipt of
proper and
correct invoice from AP and CP.
- The AP shall hold proprietary and confidential information of TTL in confidence and protect
it against
disclosure to the public and third parties. The AP shall not exploit the said confidential
information
commercially.
- This association between the AP and TTL shall subsist unless and until terminated by TTL at
its
discretion by giving ten (10) days written notice to the AP.
- In the event of any dispute or difference relating to or arising from or connected with
these TnCs, such
dispute or difference shall be resolved amicably within thirty (30) days from the date of
its having so
arisen. If efforts at an amicable settlement fail, all disputes or differences arising out
of these TnCs
shall be referred to a single arbitrator appointed by TTL under the Indian Arbitration and
Conciliation
Act 1996, as amended from time to time, and the arbitration shall be held at city AP is in,
India and
conducted in the English language.
- The Parties agree to be bound by any arbitration award rendered in accordance with the
above, as the
final adjudication of any such dispute.
- These TnCs shall be governed by the laws of India and subject to jurisdiction of courts in
the city
where AP resides.
I the AP above mentioned, have read and accept these Terms and Conditions set out in this
document. I
confirm that I shall be responsible for lead generation, respecting the confidentiality of
TTL, and
accept the Payout Policy as communicated to me. I understand that my registration as an AP
with TTL is
conditional upon the completion of all registration formalities and the filing of all
identification
documents with the TTL team. I understand that signing this declaration represents a binding
commitment
on my behalf to the TTL AP programme.
